Terms of Service

1. About StitchGrid

StitchGrid (“StitchGrid,” “we,” “us”) operates a curated sourcing network that connects product brands (“Brands”) with vetted manufacturing partners (“Factories”). These Terms of Service (“Terms”) govern your access to and use of our website, applications, and services (collectively, the “Service”).

By creating an account, posting a job, submitting a quote, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. Accounts

You must provide accurate information when registering and keep it current. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us promptly at hello@stitchgrid.com if you suspect unauthorized use.

3. The marketplace

StitchGrid facilitates introductions, quote exchange, and order workflow between Brands and Factories. StitchGrid is not a party to the production agreement between a Brand and a Factory. We do not manufacture, ship, take title to, or guarantee any goods.

Vetting decisions are made in good faith based on the information available to us at the time of review, but Brands remain responsible for their own diligence before committing to a purchase order.

4. Fees

Posting jobs and reviewing matches is free. StitchGrid charges a take rate on production orders that run through the platform, disclosed before checkout. Fees, taxes, and payment terms specific to your order will be shown on the relevant order page.

5. Acceptable use

You agree not to:

• Misrepresent your identity, capacity, certifications, or capabilities.
• Circumvent StitchGrid to complete a transaction with a counterparty you discovered through the Service.
• Upload content that infringes third-party intellectual property rights or contains malware.
• Scrape, copy, or republish vetted-factory profiles or other Service data without our written consent.
• Use the Service for unlawful, fraudulent, or harassing purposes.

6. Intellectual property

You retain ownership of tech packs, sketches, and other materials you upload (“Brand IP”). You grant StitchGrid a limited license to host, display, and transmit Brand IP solely as necessary to operate the Service and route it to Factories you select. Factories receiving Brand IP through the Service may only use it to evaluate and fulfill the relevant order.

StitchGrid retains all rights in the Service itself, including software, design, brand assets, and aggregated marketplace data.

7. Confidentiality and NDAs

Where the Service offers NDA acceptance gating (e.g., before a Factory sees full brief details), the accepted NDA terms govern that disclosure in addition to these Terms. StitchGrid is not a party to those NDAs but provides the workflow for the parties to record acceptance.

8. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind. To the maximum extent permitted by law, StitchGrid disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. Estimated landed cost, duty calculations, and lead times are provided for planning and are not a substitute for a licensed customs broker or signed factory commitment.

9. Limitation of liability

To the extent permitted by law, StitchGrid's total liability arising out of or relating to the Service is limited to the greater of (a) the fees you paid to StitchGrid in the three months preceding the claim or (b) one hundred US dollars. StitchGrid will not be liable for indirect, incidental, special, consequential, or punitive damages.

10. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms or if we believe in good faith that your conduct creates risk for the marketplace.

11. Governing law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of laws principles. Disputes will be resolved in the state or federal courts located in Delaware, and you consent to that jurisdiction.

12. Changes

We may update these Terms from time to time. Material changes will be announced via the Service or by email. Continued use after the effective date constitutes acceptance.
